A RESOLUTION AMENDING RESOLUTION 180, SERIES 2012, APPROVING THE GRANTING OF LOCAL INDUCEMENTS TO NORGREN, INC. PURSUANT TO KRS CHAPTER 154, SUBCHAPTER 32, TO INCORPORATE ANY SUBSEQUENT ASSIGNEES OR APPROVED AFFILIATES THEREOF.

WHEREAS, Resolution 180, Series 2012, awarding business incentives and inducements to Norgren, Inc., passed with Metro Council approval on November 15, 2012; and
WHEREAS, Norgren, Inc. changed its corporate structure from a corporation to a limited liability company, with an effective date of November 30, 2020; and
WHEREAS, Norgren, LLC ("Company") was thereafter subsumed under an authorized affiliate IMI Norgren, LLC; and
WHEREAS, the Council intends to continue offering inducements and incentives to Norgren, LLC and all of its subsequent assignees or approved affiliates.
NOW, THEREFORE, BE IT RESOLVED BY THE LEGISLATIVE COUNCIL OF THE LOUISVILLE/JEFFERSON COUNTY METRO GOVERNMENT ("COUNCIL") AS FOLLOWS:
SECTION I: That the Council does hereby approve the continued participation of Norgren, LLC, subsumed under IMI Norgren, LLC, and any subsequent assignees and approved affiliates thereof, under the KBI Program, subject to the Company satisfying the requirements set forth in the Act, including minimum full-time jobs, investment, and wage and employee benefits, and subject to the terms of this Resolution.
SECTION II: That the Council does hereby continue the Company's participation in the grant of incentives under the KBI Program by contributing one percent (1.0%) of the local occupational tax pursuant to the provisions of KRS 154-32.090. The State to Local participation ratio in this grant of incentives shall be 75% to 25%.
